IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE DOWNLOADING OR USING THIS SOFTWARE. BY CLICKING "ACCEPT" OR DOWNLOADING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.

1. GRANT OF TEMPORARY EVALUATION LICENSE

By downloading, accessing, or using any Aerendir Mobile Inc. software, software development kit (SDK), application, or technology (collectively, "Software"), you agree that this Temporary Download Agreement ("Agreement") constitutes a legally binding contract between you ("Licensee") and Aerendir Mobile Inc. ("Aerendir").

Subject to the terms of this Agreement, Aerendir grants to Licensee a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Software solely for internal evaluation and testing purposes.

This license is granted for a period of twenty-four (24) hours from the time of download. Upon expiration of this period, Licensee must immediately cease all use of the Software and delete all copies from any systems or devices.

2. LICENSE DURATION AND EXPIRATION

2.1 Term: This evaluation license automatically expires twenty-four (24) hours after the Software is downloaded, with no notice required from Aerendir.

2.2 Upon Expiration: Upon expiration or termination of this license, Licensee agrees to: (a) immediately discontinue all use of the Software; (b) permanently delete all copies of the Software from all computers, devices, and storage media; and (c) certify such deletion upon request by Aerendir.

2.3 Extended Licensing: For continued use beyond the 24-hour evaluation period, Licensee must contact Aerendir Mobile Inc. to negotiate a commercial license agreement.

3. RESTRICTIONS ON USE

3.1 Permitted Use: Licensee may use the Software only for internal evaluation, testing, and assessment of the Software's functionality and suitability for Licensee's intended purposes.

3.2 Prohibited Activities: Licensee shall NOT: (a) use the Software for any commercial, production, or revenue-generating purpose; (b) copy, distribute, sublicense, sell, lease, rent, or transfer the Software to any third party; (c) modify, adapt, translate, reverse engineer, decompile, or disassemble the Software; (d) create derivative works based on the Software; (e) remove, alter, or obscure any proprietary notices on the Software; (f) use the Software to develop competing products or services; (g) benchmark or publish performance comparisons without prior written consent; (h) use the Software in any manner that violates applicable laws or regulations.

3.3 Prohibited Content: Use of the Software together with material that is pornographic, racist, vulgar, obscene, defamatory, libelous, abusive, promotes hatred, or discriminates based on religion, ethnic heritage, race, gender, sexual orientation, or age is strictly prohibited.

4. INTELLECTUAL PROPERTY RIGHTS

The Software and all copies thereof are proprietary to Aerendir and title thereto remains exclusively with Aerendir. All applicable rights to patents, copyrights, trademarks, trade secrets, and other intellectual property rights in the Software are and will remain exclusively with Aerendir.

Aerendir Touch Technology® and related technologies are protected by 31 granted patents and numerous pending patents. Copyright law and international treaty provisions protect all parts of the Software. Aerendir's name, logo, and graphics shall not be used in any way to promote products or services without prior written authorization from Aerendir.

5. NO WARRANTY

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. AERENDIR EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR RELIABILITY. Aerendir does not warrant that the Software will meet Licensee's requirements, operate without interruption, or be error-free.

6. LIMITATION OF LIABILITY

IN NO EVENT SHALL AERENDIR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR DISTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE. AERENDIR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE, IF ANY.

7. INDEMNIFICATION

Licensee agrees to indemnify, defend, and hold harmless Aerendir and its officers, directors, employees, agents, and distributors from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to Licensee's use of the Software, violation of this Agreement, or infringement of any intellectual property or other rights of any third party.

8. DATA COLLECTION

Licensee acknowledges that while Aerendir does not collect personally identifiable user data, Aerendir may collect aggregated, anonymized usage data as part of product support and improvement services.

9. TERMINATION

This Agreement and the license granted herein shall automatically terminate upon the earlier of: (a) expiration of the 24-hour evaluation period; or (b) breach of any term of this Agreement by Licensee. Upon termination, Licensee must immediately cease use of the Software and destroy all copies. Sections 4 through 11 shall survive termination of this Agreement.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of California and applicable federal laws of the United States, without regard to conflicts of law principles. Licensee hereby irrevocably submits to the exclusive jurisdiction of the state and federal courts located in California.

Subject to these Terms, Aerendir grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful purposes. Any software downloads are subject to separate license agreements.

5. PROHIBITED CONDUCT

You agree not to: (a) violate any applicable laws; (b) impersonate any person or entity; (c) interfere with or disrupt the Site; (d) attempt to gain unauthorized access; (e) use automated means to access the Site without permission; (f) transmit viruses or malicious code; (g) harass or threaten other users; (h) post unlawful or objectionable content; (i) collect personal information from the Site; (j) use the Site for unauthorized commercial purposes.

6. COMMUNITY FORUMS AND USER CONTENT

10. INDEMNIFICATION

You agree to indemnify and hold harmless Aerendir from any claims arising from your use of the Site or violation of these Terms.

11. GOVERNING LAW

These Terms shall be governed by the laws of the State of California. Any disputes shall be resolved in the state or federal courts located in California.

3.1 Illegal Activities: Using Aerendir Technology in connection with any activity that violates applicable laws.

3.2 Harmful or Malicious Uses: Developing malware, bypassing security measures, unauthorized surveillance, or facilitating fraud.

3.3 Discrimination: Using technology in any manner that discriminates or violates human rights.

3.4 Mass Surveillance: Bulk biometric data collection or continuous monitoring without consent.

3.5 Deepfakes: Creating or authenticating synthetic media intended to deceive.

3.6 Unauthorized Data Collection: Attempting to extract biometric data from on-device processing.

3.7 Reverse Engineering: Attempting to derive source code or algorithms.

3.8 Competitive Analysis: Using technology for competing products without authorization.

4. PRIVACY AND DATA PROTECTION REQUIREMENTS

You must: obtain appropriate consent, provide clear privacy notices, comply with privacy laws (GDPR, CCPA, BIPA), implement security measures, and respect on-device processing architecture.

5. SECURITY REQUIREMENTS

You must: implement industry-standard security practices, report vulnerabilities to [email protected], keep credentials secure, and apply updates promptly.

6. ENFORCEMENT

Aerendir may: issue warnings, suspend access, terminate licenses, pursue legal remedies, or report violations to authorities.
